Terms of business.
These terms govern the relationship between Akceptum AG (Baar, Switzerland) and its commercial clients.
§ 1Scope
These terms of business (hereinafter “Terms”) apply to all contracts between Akceptum AG, Sihlbruggstrasse 105, 6340 Baar (Switzerland), hereinafter “Akceptum”, and commercial clients (“Client”). Consumer contracts as defined by consumer law are not concluded.
Conflicting or supplementary terms of the Client shall apply only if Akceptum has expressly agreed to them in writing.
§ 2Services
Akceptum delivers operational services across the disciplines of administration and law, localisation and translation, business analytics, process automation, AI agents, marketing and SEO, as well as IT and digital solutions.
The specific scope of services results from the respective individual agreement (offer, order confirmation, statement of work). Advisory services without a concrete deliverable are expressly not part of the standard offering.
§ 3Contract conclusion
Offers from Akceptum are non-binding unless expressly designated as binding. A contract is concluded through written order confirmation by Akceptum or by actual commencement of work.
§ 4Remuneration and payment
Remuneration is set out in the individual agreement. Unless otherwise agreed, work is invoiced on a time and materials basis at the prevailing hourly rates. Invoices are payable within 30 days without deduction.
In the event of payment default, default interest at the statutory rate (Art. 104 CO) applies. Akceptum is entitled to withhold services in the event of payment default.
§ 5Client cooperation
The Client provides Akceptum in a timely and complete manner with the information, documents and access required for the provision of services. Delays caused by late cooperation are not borne by Akceptum.
§ 6Confidentiality
Both parties undertake to keep confidential information of the other party secret during and after the term of the contract and to use it only for the purpose of contract performance. This obligation continues indefinitely.
§ 7EU representation
For selected EU mandates, Akceptum maintains an exclusive representation structure through Lub System Sp. z o.o. (Poland), a member of the Polish-German Chamber of Industry and Commerce (AHK Poland). Lub System Sp. z o.o. acts in the EU area as authorised representative of Akceptum AG, insofar as this is contractually agreed and required for the respective mandate.
All mandate relationships, invoices and obligations remain with Akceptum AG, Baar, unless otherwise specified in the individual agreement.
§ 8Intellectual property
Upon full payment of the agreed remuneration, the Client acquires the non-exclusive, non-transferable right to use the work results produced by Akceptum for the purpose agreed in the contract. Exceptions — in particular the transfer of exclusive rights — require a separate written agreement.
§ 9Liability
Akceptum is liable without limitation for wilful intent and gross negligence. In cases of slight negligence, liability is limited to typical, foreseeable damage and capped in amount at the value of the relevant individual contract. Liability for lost profit, indirect or consequential damage is excluded to the extent permitted by law.
§ 10Termination
Contracts of indefinite duration may be terminated by either party on 30 days’ notice to the end of a calendar month. The right to terminate for cause remains reserved.
§ 11Final provisions
Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected. The authoritative language is German; translations serve information purposes only.
§ 12Applicable law and jurisdiction
Swiss law applies, to the exclusion of the UN Convention on Contracts for the International Sale of Goods. Exclusive place of jurisdiction is Baar / Zug, Switzerland.
